Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Qexion Labs, a Technology Innovation Company operating in Ghana ("Qexion Labs," "we," "us," or "our"). By accessing or using our services, including our website, Q Hub customer portal, and QWS (Qexion Web Services), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Qexion Labs provides technology solutions through QWS (Qexion Web Services), including:

As a client, you agree to: • Provide accurate and complete information for project requirements • Supply necessary content, materials, and assets in a timely manner • Respond to communications and requests for feedback promptly • Ensure you have the rights to all content and materials you provide • Make payments according to agreed terms • Review and approve deliverables within reasonable timeframes • Comply with all applicable laws in your use of our services

Intellectual property rights are allocated as follows:

Payment terms are as follows: • Payment schedules are defined in individual project agreements • A deposit is typically required before work begins • Invoices are due within 14 days unless otherwise specified • Late payments may incur interest charges and project delays • We reserve the right to suspend work on accounts with overdue payments • All fees are non-refundable unless otherwise stated in your agreement • Prices are in Ghana Cedis (GHS) unless otherwise specified

Project scope management: • The scope of work is defined in your Statement of Work (SOW) or project agreement • Change requests must be submitted in writing • Changes may affect project timeline and cost • Additional work outside the original scope requires separate approval and may incur additional fees • We will provide estimates before proceeding with change requests

We provide the following warranties:

OUR MAXIMUM LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO OUR SERVICES IS LIMITED TO THE TOTAL AMOUNT YOU PAID FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR: • Indirect, incidental, special, consequential, or punitive damages • Lost profits, data, or business opportunities • Damages arising from circumstances beyond our reasonable control (force majeure) These limitations apply regardless of the legal theory (contract, tort, or otherwise).

You agree to indemnify and hold harmless Qexion Labs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: • Your use of our services or deliverables • Your violation of these Terms • Your violation of any third-party rights • Content or materials you provide to us • Your breach of any representations or warranties

Either party may terminate services under the following conditions:

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. Protected information includes: • Business strategies and plans • Technical specifications and designs • Pricing and financial information • Any information marked as confidential Exceptions: • Information that becomes publicly available (not through breach) • Information already known to the receiving party • Information independently developed • Information required to be disclosed by law

In the event of a dispute, the parties agree to the following resolution process: 1. Good-faith negotiation between the parties 2. Mediation through a mutually agreed mediator 3. Binding arbitration if mediation fails The prevailing party in any dispute may recover reasonable legal fees and costs.

These Terms are governed by the laws of the Republic of Ghana. • Exclusive jurisdiction: Courts of Accra, Ghana • We acknowledge that mandatory consumer protection laws in your jurisdiction may provide additional rights • We commit to attempting amicable resolution before pursuing legal action

• Entire Agreement: These Terms, together with your project agreement, constitute the entire agreement between the parties • Severability: If any provision is found invalid, the remaining provisions remain in effect • Waiver: Failure to enforce any provision does not constitute a waiver of that provision • Assignment: You may not assign your rights without our written consent • Amendments: We may update these Terms; continued use after updates constitutes acceptance
